1. The agreement
These Terms of Service ("Terms") are an agreement between Grupo Impulso Digital S.A. de C.V., Panfilo Perez 879, Blanco y Cuellar, Guadalajara, Jalisco, Mexico ("we", "us") and the organisation that creates a Gravity workspace or signs an order form ("Customer", "you"). The person accepting them confirms they have authority to bind the Customer.
An order form or a signed enterprise agreement takes precedence over these Terms where they conflict. The Data Processing Agreement at gravitydocs.io/legal/dpa forms part of these Terms whenever we process personal data on your behalf.
2. Definitions
- "Service": the Gravity application, API, MCP server, CLI, GitHub App, Doc Agent and the documentation sites published with them.
- "Customer Data": everything you or your users submit to the Service, including content, source material, uploads, configuration and reader data from your published sites.
- "Users": the people you allow to use your workspace, including members, reviewers and invited guests.
- "Readers": the people who read the documentation sites you publish.
- "Output": content the Service generates for you, including AI-generated drafts, translations and answers.
3. Accounts and access
You are responsible for your Users, for keeping credentials, API keys and machine tokens secure, and for everything done under your workspace. Tell us promptly at contact@gravitydocs.io if you suspect unauthorised access.
You may connect your own identity provider for single sign-on where your plan includes it. Roles and access you assign inside the workspace are your responsibility.
4. Your data
You keep all rights in Customer Data. You grant us a worldwide, non-exclusive licence to host, copy, process, transmit and display Customer Data only as needed to provide, secure and support the Service and as you instruct, including publishing it to the Readers you choose.
You are responsible for having the rights and permissions to submit Customer Data, including source code you send through the CLI or GitHub App, and for the content you publish.
We do not use Customer Data to train AI models.
5. AI features and Output
Some features use large language models through Origin, our AI gateway, through third-party providers, or through a provider key you supply. Output may be inaccurate or incomplete. Gravity routes generated changes through review before publication; you are responsible for reviewing Output before you rely on it or publish it.
As between you and us, you own the Output generated from your Customer Data. Similar Output may be generated for others.
When you supply your own provider key, your agreement with that provider governs those calls, and you are responsible for the related charges.
6. Acceptable use
You will not, and will not let anyone:
- use the Service to break the law, infringe others’ rights, or publish content that is unlawful, deceptive, or harmful;
- upload malware, or point the Doc Agent at systems you are not authorised to access;
- probe, scan or test the Service’s vulnerabilities without our written permission, or bypass its access controls, rate limits or module gates;
- resell, sublicense or provide the Service to third parties except as your plan allows;
- use the Service or its Output to build a competing product, or reverse-engineer it except where the law allows;
- send personal data in categories that require special protection (such as health or payment card data) unless we have agreed to it in writing.
We may suspend access that breaches this section or threatens the security of the Service, with notice where practical, and restore it once the issue is fixed.
7. Plans, fees and taxes
Fees are set out on the pricing page or in your order form and are billed in advance for each subscription term through our billing service. Card payments are processed by Stripe; a subscription billed yearly can instead be paid by bank transfer against an invoice, on request. Subscriptions renew automatically for the same term unless either party cancels before renewal.
Fees exclude taxes; you pay applicable sales, use, VAT and similar taxes other than taxes on our income. Unpaid fees more than 30 days overdue may lead to suspension after notice.
We may change fees for a renewal term with at least 30 days’ notice.
8. What we commit to
- Provide the Service substantially as described in its documentation.
- Protect Customer Data with the technical and organisational measures described in the DPA and on the Security page.
- Keep an audit trail of actions in your workspace and make it available to your administrators.
- Give notice of material changes that reduce the Service’s core functionality.
Service levels and support response times, where offered, are set out in your order form.
9. Confidentiality
Each party will protect the other’s confidential information with at least reasonable care, use it only for this agreement, and share it only with people who need it and are bound by similar duties. This does not cover information that is public, already known, independently developed, or rightfully received from a third party. Disclosure required by law is allowed with prompt notice where lawful.
10. Our intellectual property
We own the Service, its software, designs and documentation. Feedback you give us may be used freely without obligation. Nothing in these Terms transfers our intellectual property to you.
11. Term, termination and your data at the end
These Terms last as long as you have a workspace or an active subscription. Either party may terminate for material breach not cured within 30 days of notice. You may cancel at any time, effective at the end of the current term.
For 30 days after termination you may export your content (for example as PDF) or ask us to provide an export. After that period we delete Customer Data from active systems within 30 days and from backups as they expire, except where the law requires us to keep it. Audit records are retained as described in the Privacy Policy.
12. Warranties and disclaimers
Each party warrants that it has the authority to enter into this agreement. Except as expressly stated, the Service and Output are provided "as is", and we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement, to the extent the law allows.
13. Limitation of liability
Neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, even if advised of the possibility.
Each party’s total liability under this agreement is limited to the fees paid or payable by you in the 12 months before the event giving rise to the claim. These limits do not apply to your payment obligations, a party’s indemnity obligations, or liability that cannot be limited by law.
14. Indemnities
We will defend you against third-party claims that the Service infringes their intellectual property and pay the resulting damages and costs, unless the claim arises from Customer Data, Output you modified, or a combination we did not provide. You will defend us against third-party claims arising from Customer Data or your breach of section 6.
15. General
Governing law: the laws of Mexico, with exclusive jurisdiction of the courts of Guadalajara, Jalisco. Neither party may assign this agreement without the other’s consent, except to a successor in a merger or sale of substantially all assets. Notices go to the addresses on the order form or, for us, to contact@gravitydocs.io. Neither party is liable for delays caused by events beyond its reasonable control. If a provision is unenforceable, the rest remains in effect. These Terms, the DPA and any order form are the entire agreement on their subject.
We may update these Terms. We will give at least 30 days’ notice of material changes; continuing to use the Service after they take effect means you accept them.
